Terms and conditions for using Pride Kings Group Limited services

Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Pride Kings Group Limited ("Company," "we," "our," or "us"), a private security company registered in Kenya. By accessing our website or engaging our services, you agree to be bound by these Terms and all applicable laws of Kenya.
1. Company Information

2. Services Offered
Pride Kings Group Limited provides the following security services:
- Trained security guards and personnel
- Alarm response and monitoring services
- K-9 unit and handler services
- Corporate and private investigation
- Security surveys and audits
- Perimeter fencing and physical security
- Escort and courier services
- Fire safety and prevention services
3. Service Agreements
3.1 Contract Formation
A binding contract is formed when:
- You submit a written service request or quotation acceptance
- We provide written confirmation of service commencement
- Both parties sign a formal Service Level Agreement (SLA)
3.2 Service Level Agreements
All services are governed by a written SLA specifying:
- Scope of services and deliverables
- Service hours and response times
- Pricing, payment terms, and billing cycles
- Duration and termination conditions
- Liability limitations and indemnification
- Dispute resolution procedures
4. Client Obligations
As a client, you agree to:
- Provide accurate information about security requirements
- Grant necessary access to premises and facilities
- Comply with all applicable laws and regulations
- Pay all fees and charges as agreed
- Provide a safe working environment for our personnel
- Report incidents or concerns promptly
- Not interfere with our personnel in the performance of their duties
5. Pricing and Payment
5.1 Fees
- All prices are in Kenya Shillings (KES) unless otherwise stated
- Prices are subject to change with 30 days' written notice
- Quotations are valid for 30 days from issuance
- Additional charges may apply for emergency or after-hours services
5.2 Payment Terms
- Payment is due within 30 days of invoice date unless otherwise agreed
- Late payments incur interest at 2% per month or the maximum allowed by law
- We reserve the right to suspend services for non-payment
- A deposit may be required for new clients or large contracts
5.3 Taxes
All fees are exclusive of Value Added Tax (VAT) and other applicable taxes, which will be added to invoices as required by Kenyan law.
6. Liability and Insurance
6.1 Our Liability
- We maintain professional indemnity and public liability insurance
- Our liability is limited to the extent permitted by Kenyan law
- We are not liable for losses arising from client's failure to follow security recommendations
- We are not liable for acts of third parties beyond our reasonable control
6.2 Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid for the specific service
- We are not liable for indirect, consequential, or punitive damages
- We are not liable for losses that could have been mitigated
6.3 Client Indemnification
You agree to indemnify us against claims arising from:
- Your breach of these Terms or applicable laws
- Your negligence or willful misconduct
- False information provided to us
7. Confidentiality
- We maintain strict confidentiality regarding client information
- Confidential information may only be disclosed as required by law
- Clients must keep our security procedures and methodologies confidential
- Confidentiality obligations survive termination of services
8. Termination
8.1 Termination by Client
- 30 days' written notice required for ongoing contracts
- Early termination fees may apply as per SLA
- All outstanding fees must be paid upon termination
8.2 Termination by Company
We may terminate services immediately if:
- Client fails to pay fees when due
- Client breaches material terms of the agreement
- Client engages in illegal activities
- Continuing services would violate our legal or ethical obligations
9. Compliance with Laws
Our services comply with:
- Private Security Regulations Act, 2016: Licensing and operations
- Data Protection Act, 2019: Personal data handling
- Employment Act, 2007: Personnel management
- Occupational Safety and Health Act, 2007: Workplace safety
- National Police Service Act: Coordination with law enforcement
10. Use of Force
Our security personnel are authorized to use reasonable force only:
- In self-defense or defense of others
- To prevent commission of a crime
- To effect a lawful arrest
- As permitted by Kenyan law and our PSRA license
All use of force incidents are documented and reported to relevant authorities.
11. Incident Reporting
- All security incidents are documented in writing
- Serious incidents are reported to clients within 24 hours
- Criminal incidents are reported to police as required by law
- Incident reports are retained as per legal requirements
12. Intellectual Property
- Our logos, trademarks, and branding are our property
- Security reports and recommendations remain our intellectual property
- Clients receive a license to use reports for their intended purpose
- Unauthorized reproduction or distribution is prohibited
13. Dispute Resolution
13.1 Negotiation
Parties agree to first attempt resolution through good-faith negotiation.
13.2 Mediation
If negotiation fails, disputes shall be referred to mediation under the Nairobi Centre for International Arbitration (NCIA) rules.
13.3 Arbitration
Unresolved disputes shall be settled by arbitration in Nairobi, Kenya, under the Arbitration Act, 1995.
13.4 Jurisdiction
These Terms are governed by Kenyan law. Courts of Kenya have exclusive jurisdiction.
14. Force Majeure
We are not liable for failure to perform due to circumstances beyond our reasonable control, including:
- Acts of God (natural disasters, epidemics)
- War, terrorism, or civil unrest
- Government actions or regulations
- Labor disputes or strikes
- Failure of utilities or telecommunications
15. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified Terms.
16. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any signed SLA, constitute the entire agreement between parties and supersede all prior agreements or understandings.
